This page contains the Terms of Service followed by four addenda: Addendum A — Self-Hosted Software · Addendum B — Createrun Cloud · Addendum C — Development Services and AI · Addendum D — Free, Community and Preview Services.
1. About These Terms
1.1 Parties. These Terms of Service (the "Terms") are an agreement between you and Createrun Incorporated, a New York corporation ("Createrun", "we", "us" or "our"). "You" means the person who accepts these Terms and, where that person accepts on behalf of an Organization or other legal entity, that entity as well.
1.2 Acceptance. You accept these Terms by clicking the acceptance control presented to you when you register, when you place an order, or when a new version of these Terms is published, or by using the Services. If you do not agree to these Terms, do not use the Services.
1.3 Authority. If you accept these Terms on behalf of a company or other legal entity, you confirm that you have authority to bind that entity. If you do not have that authority, you may not accept these Terms on its behalf.
1.4 Eligibility. You must be at least the age of majority where you live, and legally able to enter into a binding contract, to use the Services. You may not use the Services if you are barred from doing so under the laws that apply to you, including the sanctions and export laws described in Section 20.
1.5 How these Terms are organized. These Terms are the core agreement for every Createrun service. Additional terms apply to specific service lines, as described in Section 3. The following documents are incorporated into these Terms by reference:
- the Createrun Acceptable Use Policy;
- the addenda in Section 3 that apply to the Services you use;
- the Createrun Privacy Policy, which describes how we handle personal data for which we are responsible;
- where it applies, the Createrun Data Processing Addendum;
- the Createrun Organization Name and Trademark Policy and the Createrun Organization Verification Policy, where you create or verify an Organization; and
- any order form, plan description or checkout page that you accept (an "Order").
1.6 Order of precedence. If documents conflict, the following order applies, from highest to lowest: (a) a separately signed written agreement with Createrun that expressly overrides these Terms; (b) an Order, but only for the commercial terms it states; (c) the applicable service-line addendum, for the matters it governs; (d) the Data Processing Addendum, for the processing of personal data; (e) these core Terms; and (f) the Acceptable Use Policy and other incorporated policies.
1.7 Individuals and businesses. Both individuals and businesses may use the Services. In these Terms, you are a "consumer" if you use the Services as an individual for purposes outside your trade, business, craft or profession, and you use the Services "for business purposes" if you use them for your trade, business or profession or on behalf of an Organization or other legal entity. If you are a consumer, nothing in these Terms limits or excludes any mandatory consumer protection right that you have under the laws of the country or state where you live. Provisions of these Terms that disclaim warranties or limit liability or remedies apply to consumers only to the maximum extent permitted by those laws. If you are a consumer in the European Union or the United Kingdom, the geographic address at which Createrun is established is: [GEOGRAPHIC ADDRESS FOR EU/UK CONSUMERS — founder decision].
1.8 International users. The Services are offered globally, and you may sign up from any country. You are responsible for making sure that the applications you build, publish or operate with the Services comply with the laws of the countries where you or your users are located. The export control and sanctions rules in Section 20 apply wherever you are.
2. Definitions
- Account means the individual registration that gives a person access to the Services.
- Organization means a workspace in the Services that represents a company or team, to which one or more Accounts belong.

3. Service Lines and Addenda
3.1 Createrun offers several service lines, and your responsibilities differ for each. The addendum for each service line you use forms part of these Terms:
- Addendum A — Self-Hosted Software. Applies when you install and run the Software in an environment you control. Createrun is the licensor only; you operate and secure everything.
- Addendum B — Createrun Cloud. Applies when Createrun operates an instance or virtual machine for you. Responsibility is shared as described in that addendum.
- Addendum C — Development Services and AI. Applies when you use the Editor, Git repositories, build and compile services, the Createrun Agent or the MCP interface.
- Addendum D — Free, Community and Preview. Applies to Free Services and Preview Services, in addition to any other addendum.
3.2 More than one addendum may apply at the same time. For example, you may run the Software yourself while using the hosted Development Services.
3.3 Createrun Store. Your acquisition and use of items listed in the Createrun Store, including applications and components offered by third-party publishers, is governed by the separate Createrun Store Terms. Publishing items to the Createrun Store is governed by the Createrun Publisher Agreement. These Terms alone do not grant you any right to distribute software through the Createrun Store or otherwise to offer it to third parties through the Services.
4. Accounts and Organizations
4.1 Registration. You must provide accurate, complete and current registration information and keep it current. Your Account may have limited access until your email address is verified.
4.2 Credentials. Accounts are personal and may not be shared or transferred. You are responsible for keeping your credentials confidential and for all activity under your Account and your Organization, whether or not you authorized it. Where multi-factor authentication is available, we strongly recommend that you enable it.
4.3 Authorized Users. You are responsible for your Authorized Users, for their compliance with these Terms, and for any act or omission of any person who uses the Services through your Account, your Organization or your credentials. If you learn of unauthorized access, you must promptly revoke it and notify us at security@createrun.com.
4.4 Organization administrators. The administrators of an Organization control its membership, its settings and its content. If you use the Services as a member of an Organization, the Organization may access, change, export or delete content you create within it, and may remove your access.
5. Your Responsibilities
5.1 Sole responsibility. As between you and Createrun, you have sole responsibility for:
- your Customer Content, including its accuracy, quality, legality and the means by which you obtained it;
- the applications you build, install, deploy, publish or make available using the Services, and the way they operate;
- the systems, networks, devices and infrastructure that you control, and their operation and security;
- your credentials, access keys, API tokens, secrets and connection settings, and all access to the Services made with them;
- the end users of your applications, your relationship with them, and any terms, notices or consents you owe them;
- keeping your own backup copies of your Customer Content, including where Createrun also keeps backups; and
- your compliance with the laws that apply to you, your data and your applications, including applicable data protection laws.
5.2 Suitability. You are responsible for deciding whether the Services are suitable for your intended use, including whether they allow you to meet your legal and regulatory obligations.
5.3 High-risk use. The Services are not designed for use in systems where a failure or error could lead to death, personal injury, or serious physical, environmental or property damage, such as the operation of nuclear facilities, aircraft navigation, life support or weapons systems. You may not use the Services for such purposes. If you do, you do so at your own risk.
5.4 Public applications. If you make an application available to the public or to third parties, you must provide your own terms of use and privacy notice to its users, and a way for them to contact you and to report abuse.
6. Acceptable Use
6.1 Your use of the Services is governed by the Createrun Acceptable Use Policy. A breach of that policy is a breach of these Terms.
6.2 You may not, and may not allow anyone else to: (a) use the Services in breach of law or of the rights of others; (b) copy, modify, translate, decompile, disassemble or reverse engineer the Services, except to the extent applicable law expressly permits it despite this restriction; (c) sublicense, resell, rent, lease or otherwise make the Services available to third parties, except as the applicable addendum or an Order expressly allows; (d) bypass, disable or interfere with any licensing, metering, quota, security or access control; (e) use the Services to build a competing product using Createrun's confidential information; or (f) remove or alter any proprietary notice.
7. Customer Content
7.1 Ownership. You keep all rights, title and interest in your Customer Content, including the code and applications you build. Createrun does not acquire ownership of your Customer Content.
7.2 Licence to Createrun. You grant Createrun a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process, back up, format, display and run your Customer Content, only to the extent necessary to provide, secure and support the Services for you, to comply with law, and to enforce these Terms. This licence ends when the Customer Content is deleted from the Services, except for copies that remain in backups until those backups expire in the ordinary course.
7.3 Your rights to the content. You represent that you have all rights, licences and consents needed to use your Customer Content with the Services and to grant the licence in Section 7.2, including for any third-party components and any personal data it contains.
7.4 Usage information. Createrun may collect and use information about how the Services are used, such as feature usage, performance, error and consumption data, to provide, secure, bill for, support and improve the Services. Createrun may publish or share such information only in aggregated form that does not identify you, your Authorized Users or your Customer Content.
7.5 Feedback. If you give Createrun suggestions or feedback, Createrun may use them without restriction or obligation to you. You are never required to give feedback.
8. Createrun's Intellectual Property
8.1 Createrun and its licensors own all rights, title and interest in the Services, the Software, the Documentation and the Createrun names, logos and other brand features. Except for the rights expressly granted in these Terms, no right or licence is granted to you, whether by implication, estoppel or otherwise.
8.2 Subject to these Terms and payment of any applicable Fees, Createrun grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Services and the Documentation during your subscription or permitted use. Additional rights for the Software are set out in Addendum A.
8.3 Third-party components. The Services may include components licensed by third parties. Where the licence terms of such a component require it, those terms govern your use of that component and are identified in the Documentation or in the Software.
9. Third-Party Services
9.1 The Services may let you connect to, install or use products, services, data sources, AI models or AI clients that Createrun does not provide ("Third-Party Services"), including items offered by third-party publishers in the Createrun Store. Your use of a Third-Party Service is governed by your agreement with its provider. Createrun does not warrant or support Third-Party Services, whether or not Createrun has reviewed, listed, signed or labeled them.
9.2 If you allow a Third-Party Service to access your Account, your Organization or your Customer Content, you authorize Createrun to exchange data with it as needed for the connection. Createrun is not responsible for any access to, use, change, disclosure or deletion of your Customer Content by a Third-Party Service.
9.3 Createrun may stop supporting an integration with a Third-Party Service at any time, for example if the provider changes or ends its service.
10. Fees, Billing and Refunds
10.1 Fees. You agree to pay the Fees for the plans, subscriptions and usage you order, as described in the Order or on the Createrun pricing page. Fees are stated and payable in US dollars unless the Order states otherwise.
10.2 Payment processing. Payments are currently processed through Stripe. Createrun may add other payment methods in the future; any such method will be offered through Createrun's checkout. You authorize Createrun and its payment processor to charge your payment method for all Fees when due, including renewal fees and usage charges. Your payment details are collected and held by the payment processor, not by Createrun. You must keep a valid payment method on file for any paid plan.
10.3 Subscriptions and automatic renewal. Subscriptions are billed in advance for the billing period you select, such as monthly or annually. Each subscription renews automatically for a further period of the same length, at the then-current price, and your payment method is charged at the start of each new period, unless you cancel it before the end of the current billing period. Before you subscribe, checkout shows the price, the billing period and how to cancel, and after you subscribe we send you a confirmation by email that repeats these terms. For subscriptions with a billing period of one year or longer, we will send you a reminder by email before each renewal, stating the renewal date, the amount to be charged and how to cancel. We will give you at least thirty (30) days' notice before a price increase applies to your renewal.
10.4 Usage charges. Some Services are charged by usage, measured in the usage units described on the Createrun pricing page (currently called "ORU"). Usage above the amount included in your plan is charged at the published rates, in arrears, for the billing period in which it occurs. Usage is measured by Createrun's metering systems. Usage is counted when the Services perform the work, whether or not the result meets your expectations. If you believe a usage charge is wrong, you must tell us in writing within sixty (60) days of the invoice date.
10.5 Free trial. Createrun may offer a free trial of the Pro plan, currently for fourteen (14) days. A valid payment method is required to start the trial. Unless you cancel before the trial ends, the trial converts automatically into a paid Pro subscription on the day the trial ends, your payment method is charged the then-current Pro fee for the first billing period, and the subscription renews under Section 10.3. You can cancel during the trial in your account settings. If you cancel before the trial ends, you will not be charged. Createrun may limit trials to one per person or Organization.
10.6 Cancellation and downgrade. You may cancel a subscription or move to a lower plan at any time, online in your account settings, without having to call or write to us. You may also cancel by writing to support@createrun.com. We confirm each cancellation by email. Cancellation and downgrade take effect at the end of the current billing period. Until then, your plan continues and remains payable. There are no refunds or credits for a partial billing period.
10.7 Upgrades. Upgrades take effect when you confirm them and may be charged on a prorated basis for the rest of the current billing period, as shown at checkout.
10.8 Refunds. Fees are non-refundable. Createrun may, at its sole discretion, grant a full or partial refund or credit in exceptional circumstances. A refund or credit granted in one case does not create an obligation to grant one in any other case. Usage charges are never refundable.
10.9 Taxes. Fees do not include taxes. You are responsible for all sales, use, value-added, goods and services and similar taxes, duties and levies on your purchases, other than taxes on Createrun's net income. Where Createrun is required to collect a tax, it will be added to your invoice. If you claim a tax exemption, you must give us a valid exemption certificate.
10.10 Late or failed payment. If a payment fails or is overdue, Createrun may retry the charge, and may suspend or limit the Services under Section 12 until all overdue amounts are paid. You remain responsible for all Fees incurred, including during a suspension.
10.11 Store purchases. Purchases of third-party items in the Createrun Store are governed by the Createrun Store Terms, including their payment and refund terms.
10.12 Non-waivable rights. Nothing in this Section 10 limits any right you have under applicable law that cannot be waived or limited by contract.
11. Plan Limits and Changes to the Services
11.1 Limits. Each plan and edition is subject to the limits described in the Order, on the pricing page or in the Documentation, such as seats, usage units, storage, compute, build capacity and request rates. You must stay within those limits. If you exceed them, Createrun may throttle, queue or refuse the excess use, charge for it at the published rates, or ask you to move to a suitable plan.
11.2 Changes. The Services are under continuous development. Createrun may add, change, deprecate or remove features. If a change materially reduces a feature of a paid plan that you rely on, Createrun will give you reasonable advance notice, except where the change is needed for security, legal compliance or the integrity of the Services.
11.3 Support. Support is provided as described in the Createrun Help and Support Policy and in the addendum that applies to the Service. For all paid editions, Createrun aims to give a first response within 48 business hours, counted on business days (Monday to Friday, excluding US federal holidays) in US Eastern Time. This is a target, not a guarantee, and Createrun does not provide support 24 hours a day, 7 days a week. Community support is provided on a best-effort basis. Service-level commitments may be offered separately in writing.
12. Suspension
12.1 Createrun may suspend or limit access to all or part of the Services for you, your Organization or any Authorized User immediately, with or without prior notice, if Createrun reasonably believes that:
- the use poses a security risk to the Services, to Createrun or to any third party;
- the use is abusive, fraudulent or breaches the Acceptable Use Policy;
- the use is illegal, or suspension is required by law or by a competent authority;
- the use could subject Createrun or any third party to liability; or
- any Fees are overdue.
12.2 Where practicable, Createrun will tell you the reason for a suspension and will restore access once the cause has been resolved. Createrun is not liable for any loss caused by a suspension made in accordance with this Section.
12.3 Suspension does not relieve you of your obligation to pay Fees, which continue to accrue and remain due during the suspension.
13. Term and Termination
13.1 Term. These Terms apply from the date you first accept them until all of your Accounts, Organizations and subscriptions have ended.
13.2 Termination by you. You may stop using the Services and close your Account at any time. Closing an Account does not cancel an Organization's paid subscriptions; those end under Section 10.6. No refund is due on termination by you.
13.3 Termination by Createrun. Createrun may terminate these Terms, your Account, your Organization or any subscription: (a) if you materially breach these Terms and do not cure the breach within fifteen (15) days of notice, or immediately if the breach cannot be cured; (b) immediately in any of the cases listed in Section 12.1 that are not resolved; or (c) for any reason, on thirty (30) days' notice. If Createrun terminates a paid subscription under (c), Createrun will refund any prepaid subscription fees for the unused part of the billing period.
13.4 Effect of termination. When these Terms or a subscription end, your rights to use the affected Services end. Any Fees that have accrued remain due. What happens to your Customer Content depends on the service line: for the Cloud Services and Development Services, you may export your Customer Content for thirty (30) days after termination, as described in Addendum B and Addendum C, after which it may be deleted. For the Software, your Customer Content is already in your environment, and Addendum A applies.
13.5 Survival. Sections 2, 5, 7, 8, 10 (for amounts owed), 13.4, 13.5 and 16 to 22, and any other provision that by its nature should survive, survive the end of these Terms.
14. Privacy and Data Protection
14.1 The Createrun Privacy Policy describes how Createrun handles personal data for which it decides the purposes and means of processing, such as account, billing, website and licensing data.
14.2 Where Createrun processes personal data contained in your Customer Content on your behalf in the Cloud Services or the Development Services, the Createrun Data Processing Addendum applies. For the Software that you run yourself, Createrun does not process the data inside your installation; Addendum A describes the limited installation information that the Software sends to Createrun.
14.3 Data location. Createrun is based in the United States. We process data on servers operated by us or our service providers, primarily in the United States. Where data of users in other regions is transferred, we rely on appropriate safeguards as required by applicable data protection laws.
15. Security
15.1 Createrun uses administrative, technical and organizational measures designed to protect the Services and the Customer Content that Createrun hosts. No system is completely secure, and Createrun does not guarantee that the Services or your Customer Content will be free from unauthorized access, loss or damage.
15.2 You must report suspected vulnerabilities in the Services to security@createrun.com. Security testing, scanning or load testing of the Services requires Createrun's prior written permission, as set out in the Acceptable Use Policy.
16. Confidentiality
16.1 Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Your Customer Content is your Confidential Information. The receiving party will use the other party's Confidential Information only to perform or exercise its rights under these Terms, and will protect it with at least reasonable care.
16.2 Confidential Information does not include information that is or becomes public through no fault of the receiving party, was known to it without restriction before receipt, is independently developed, or is lawfully received from a third party without restriction. The receiving party may disclose Confidential Information where required by law, after giving the other party reasonable notice where the law allows.
17. Disclaimer of Warranties
17.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, THE SOFTWARE, THE DOCUMENTATION AND ANY AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXCEPT AS EXPRESSLY STATED IN AN ADDENDUM OR A SIGNED AGREEMENT.
17.2 CREATERUN DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. CREATERUN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT CUSTOMER CONTENT WILL NOT BE LOST OR DAMAGED, OR THAT THE SERVICES OR ANY AI OUTPUT WILL MEET YOUR REQUIREMENTS.
17.3 Statements about the Services in the Documentation, on the Createrun websites or in any other communication are technical information, not warranties.
17.4 If applicable law does not allow a warranty to be excluded, that warranty is limited to the shortest period and narrowest scope that the law allows.
18. Limitation of Liability
18.1 Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CREATERUN IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR ANTICIPATED SAVINGS, ANY INTERRUPTION OF OPERATIONS, OR ANY LOSS, CORRUPTION OR UNAVAILABILITY OF DATA, HOWEVER CAUSED, EVEN IF CREATERUN WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
18.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CREATERUN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS AND THE SERVICES IS LIMITED TO THE FEES YOU ACTUALLY PAID TO CREATERUN FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.
18.3 Free and Preview Services. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CREATERUN HAS NO LIABILITY OF ANY KIND ARISING OUT OF OR RELATING TO FREE SERVICES OR PREVIEW SERVICES.
18.4 Time limit. The time within which a claim must be brought is set out in Section 22.4.
18.5 Scope. The limits in this Section apply to all claims, whether based on contract, tort (including negligence), strict liability, statute or any other theory, and apply even if a remedy fails of its essential purpose.
18.6 Your obligations. Section 18.1 does not limit your obligation to pay Fees, your indemnity obligations under Section 19, or your liability for infringing or misappropriating Createrun's intellectual property or for breaching the Acceptable Use Policy.
18.7 Liability that cannot be limited. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, such as liability for fraud, or for gross negligence or willful misconduct where the law does not permit it to be limited.
19. Indemnification
19.1 Your indemnity. You will defend, indemnify and hold harmless Createrun and its affiliates, officers, directors, employees and agents from and against any third-party claim, demand or proceeding, and any resulting loss, liability, damage, fine, penalty, settlement, cost or expense (including reasonable attorneys' fees), arising out of or relating to:
- your Customer Content;
- the applications you build, deploy, install, publish or operate using the Services, and their use by anyone;
- your end users, and any claim by them;
- any breach of the Acceptable Use Policy by you or by anyone using the Services through your Account or Organization;
- your use of AI Output, and any action taken by the Createrun Agent, or by an AI client or provider you connect, at your instruction or on your behalf;
- your use of Third-Party Services;
- any high-risk use described in Section 5.3; or
- your breach of these Terms or of applicable law.
19.2 Createrun's IP indemnity. Createrun will defend you against any third-party claim that the Services, as provided by Createrun and used in accordance with these Terms, directly infringe a United States copyright or trademark, or misappropriate a trade secret, and will pay the damages and costs finally awarded against you, or agreed by Createrun in settlement, on that claim.
19.3 Exclusions. Createrun has no obligation under Section 19.2 for any claim arising from: (a) your Customer Content, your applications or AI Output; (b) a combination of the Services with any product, service, data or process that Createrun did not provide; (c) any modification not made by Createrun; (d) use of a version of the Services that is not the current version, where the current version would have avoided the claim; (e) Third-Party Services, including third-party items in the Createrun Store; (f) Free Services or Preview Services; (g) your specifications or instructions; or (h) use in breach of these Terms.
19.4 Remedies. If the Services are, or in Createrun's opinion are likely to be, the subject of an infringement claim, Createrun may, at its option and expense: (a) obtain the right for you to continue using them; (b) modify or replace them so that they no longer infringe; or (c) terminate the affected Services and refund any prepaid Fees for the unused part of the billing period. This Section 19 states Createrun's entire liability, and your exclusive remedy, for any infringement claim. Createrun's obligations under Section 19.2 are subject to Section 18.
19.5 Procedure. The party seeking indemnity must promptly notify the other party of the claim, give it sole control of the defense and settlement, and provide reasonable cooperation at the indemnifying party's expense. The indemnifying party may not settle a claim in a way that imposes an obligation or admission on the other party without that party's prior written consent, which may not be unreasonably withheld.
20. Export Control and Sanctions
You must comply with all export control and economic sanctions laws that apply to your use of the Services, including those of the United States. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive United States sanctions, and that you are not on, or owned or controlled by a person on, any United States government list of restricted parties. You may not use, export or give access to the Services in breach of those laws.
21. Copyright Complaints
21.1 Createrun respects intellectual property rights and responds to notices of alleged copyright infringement that comply with the United States Digital Millennium Copyright Act. Send notices to Createrun's designated copyright agent:
- Agent: Copyright Agent (role), Createrun Incorporated
- Email: legal@createrun.com
- Mail: Createrun Incorporated, c/o Registered Agent, 418 Broadway, STE R, Albany, NY 12207, USA
- Telephone: [PHONE REQUIRED BY LAW — founder decision: registered-agent / DMCA-agent service phone]
21.2 A notice must include the information required by 17 U.S.C. §512(c)(3). Createrun may remove or disable access to content that is the subject of a valid notice, and will terminate, in appropriate circumstances, the Accounts of users who are repeat infringers.
22. Governing Law and Disputes
22.1 Governing law. These Terms, and any dispute arising out of or relating to them or to the Services, are governed by the laws of the State of New York, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer who lives in the European Union or the United Kingdom, this choice of law does not deprive you of the protection of the mandatory provisions of the law of the country where you live.
22.2 Courts. The state and federal courts located in New York County, New York, have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and each party submits to the personal jurisdiction of those courts. If you are a consumer who lives in the European Union or the United Kingdom, you may also bring proceedings in the courts of the country where you live, and Createrun may bring proceedings against you only in those courts. Either party may seek urgent injunctive relief in any court of competent jurisdiction.
22.3 Jury waiver for business customers. IF YOU USE THE SERVICES FOR BUSINESS PURPOSES, YOU AND CREATERUN EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
22.4 Time limit for claims. If you use the Services for business purposes, any claim arising out of or relating to these Terms or the Services must be brought within one (1) year after the cause of action arises, or it is permanently barred. If you are a consumer, the time limits provided by applicable law apply.
23. Changes to These Terms
23.1 Createrun may update these Terms to reflect changes in the Services, in its practices or in the law. For material changes, Createrun will notify you by email or through the Services at least thirty (30) days before the change takes effect. Changes required by law or to address a security risk may take effect sooner.
23.2 Where Createrun asks you to accept a new version, access to some Services may be limited until you accept it. Otherwise, your continued use of the Services after the effective date means you accept the updated Terms. If you do not agree to a change, you must stop using the affected Services and may cancel your subscription under Section 10.6.
23.3 For paid subscriptions, changes to Fees apply only under Section 10.3.
24. General
24.1 Notices. Createrun gives notices to the email address registered to your Account or through the Services. You give legal notices to Createrun by email to legal@createrun.com or by mail to Createrun Incorporated, c/o Registered Agent, 418 Broadway, STE R, Albany, NY 12207, USA. An email notice is given on the day it is sent, unless the sender receives a delivery failure.
24.2 Assignment. You may not assign or transfer these Terms without Createrun's prior written consent. Createrun may assign these Terms to an affiliate or to a successor in a merger, acquisition or sale of all or substantially all of the relevant assets.
24.3 Subcontractors. Createrun may use subcontractors and service providers to provide the Services and remains responsible for their performance under these Terms.
24.4 Force majeure. Neither party is liable for a failure or delay caused by events beyond its reasonable control, such as natural disasters, war, terrorism, labor disputes, failures of utilities, networks or third-party hosting providers, or acts of government. This Section does not excuse payment obligations.
24.5 Independent parties. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, employment or fiduciary relationship.
24.6 No third-party beneficiaries. There are no third-party beneficiaries of these Terms, except the persons protected by Section 19.1.
24.7 Severability and waiver. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the rest of these Terms remains in effect. A failure or delay in enforcing a right is not a waiver of it.
24.8 Entire agreement. These Terms, together with the documents incorporated by reference, are the entire agreement between you and Createrun about their subject matter and replace any prior agreement on that subject. Terms in your purchase orders or other business forms do not apply.
24.9 Language. These Terms are written in English. Any translation is for convenience only, and the English version prevails.

Addendum A — Self-Hosted Software
1. Scope
1.1 This Addendum forms part of the Createrun Terms of Service (the "Terms") and applies when you install and run the Software in an environment that you control, whether on your own hardware, in a data center you use, or with a cloud or hosting provider you choose (a "Self-Hosted Installation"). Capitalized terms not defined here have the meaning given in the Terms.
1.2 For a Self-Hosted Installation, Createrun is the licensor of the Software only. Createrun does not operate, host, monitor, back up or secure your installation, and does not have access to the data inside it unless you give that access under Section 8.
1.3 If you also use hosted services from a Self-Hosted Installation, such as the Development Services or the Createrun Store, the addendum for those services applies to them as well.
2. Licence
2.1 Grant. Subject to the Terms, this Addendum and payment of any applicable Fees, Createrun grants you a limited, non-exclusive, non-transferable, non-sublicensable licence, during your subscription or permitted use, to install and run the Software for your internal business purposes, within the edition, seats, usage and other limits that apply to your plan. You may make one copy of the Software for backup and disaster recovery purposes.
2.2 Applications you build. You may use the Software to build and run your own applications and make them available to your end users, as permitted by your edition. The Software and any Createrun runtime components included in your applications remain licensed, not sold, and may be used only as part of those applications.
2.3 Restrictions. In addition to Section 6.2 of the Terms, you may not: (a) run the Software beyond the edition, seats, instances or usage limits you are licensed for; (b) remove, disable or interfere with the registration, activation, licence check or update mechanisms of the Software; (c) distribute the Software on its own, or provide it to third parties as a hosted service, except as an Order expressly allows; or (d) use a licence key, instance registration or credential issued for one installation or Organization for another.
2.4 Editions. The Community edition is subject to Addendum D, including the eligibility conditions in it. The features and limits of each edition are described on the Createrun pricing page and in the Documentation.
3. Your Operational Responsibility
3.1 You are solely responsible for your Self-Hosted Installation, including:
- providing, operating and maintaining the servers, operating systems, databases, networks and other infrastructure it runs on, and meeting the minimum system requirements in the Documentation;
- its security, including access control, firewall and network configuration, encryption, credentials and secrets, security patches for the operating system and other components you provide, and monitoring for and responding to security incidents;
- installing updates and upgrades of the Software when you choose to, and the consequences of running a version that is no longer supported;
- backups and disaster recovery for the Software, your applications and all data in the installation, and testing that you can restore them;
- your compliance with the laws and regulations that apply to you, your data and your applications, including applicable data protection laws;
- the users and administrators you allow to access the installation, and their actions; and
- every application, component and extension that you or your users install in it, including items obtained from the Createrun Store or from third parties.
3.2 Createrun is not responsible for any loss, downtime, security incident or other problem that results from your infrastructure, your configuration, your failure to install an update, your applications, or any item installed in your installation that Createrun did not provide.
4. Installation Information Sent to Createrun
4.1 What is sent. To register, activate and license a Self-Hosted Installation, and to deliver updates to it, the Software sends information about the installation environment to Createrun. This information is:
- the instance identifier of the installation;
- the identifiers of the Organization and of the Account that registers the installation, including the user identifier and email address of the person who registers it;
- the hostname of the server;
- the installation path;
- the operating platform;
- the product and component versions installed;
- the edition; and
- periodic health and update-check requests, which identify the instance and its version.
4.2 When it is sent. This information is sent when the installation is registered or activated, and afterwards periodically for ongoing licence checks, health checks and update checks.
4.3 Why it is used. Createrun uses this information for licensing, activation, update delivery and abuse prevention, including detecting use beyond the licensed edition or limits and the misuse of licence keys or registrations. The Createrun Privacy Policy describes how Createrun handles any personal data included in it.
4.4 What is not sent. The registration, licence and update mechanisms described in this Section do not send the data stored in your applications or databases to Createrun. If you choose to enable an optional feature that sends additional information to Createrun, such as diagnostics or usage reporting, the Documentation or the feature itself describes what is sent.
4.5 Network access. The Software needs to reach Createrun's licensing and update services to register, activate and receive updates. If it cannot do so, registration, licence checks or updates may fail, and some features may be limited, as described in the Documentation.
5. Updates and Support Lifecycle
5.1 Createrun may make updates, upgrades and new versions of the Software available. You decide when to install them, except that Createrun may require you to install a security update or a supported version to keep receiving updates or support.
5.2 Createrun supports only the versions of the Software identified as supported in the Documentation. After a version reaches its end of support, Createrun provides no updates, fixes or support for it, and any warranty or commitment for that version ends.
5.3 Support for a Self-Hosted Installation, where your plan includes it, covers the Software as provided by Createrun. It does not include administering your infrastructure, recovering your data, or debugging your applications.
6. Createrun's Role for Your Data
6.1 Createrun does not host, store or process the data inside your Self-Hosted Installation, and is not a processor of that data. You are the only party responsible for it.
6.2 For the installation information described in Section 4, Createrun decides the purposes and means of processing, as described in the Createrun Privacy Policy.
7. Licence Compliance
7.1 On Createrun's reasonable written request, you will confirm in writing that your use of the Software complies with your licence, including the number of installations, seats and the edition used.
7.2 If your use exceeds your licence, you must promptly either reduce your use to the licensed amount or purchase the licences needed to cover it, at Createrun's then-current prices.
8. Access by Createrun
Createrun has no right or obligation to access your Self-Hosted Installation. If you give Createrun personnel access to it, for example during a support session, you decide the scope and duration of that access, you remain responsible for the installation, and Createrun will use the access only for the purpose you gave it.
9. Termination
9.1 When your licence or subscription for the Software ends, you must stop using the licensed edition of the Software and, unless you move to another edition that you are entitled to use, uninstall it and destroy all copies.
9.2 Because your data is held in your own environment, it remains with you when your licence ends. Createrun has no obligation to retrieve, return or delete data in your installation. You should export any data you need before you uninstall the Software.
9.3 [DECISION: behavior of an installation after licence end or failed licence checks.] After your licence ends, or if licence checks repeatedly fail, the Software may move to a restricted mode or to the Community edition, as described in the Documentation.
10. Warranty
The Software is provided under the disclaimer of warranties and the limitation of liability in the Terms. [DECISION: optional limited warranty for paid Software, for example: "For paid editions, the Software will perform substantially in accordance with the Documentation for ninety (90) days after it is first made available to you. Your exclusive remedy for breach of this warranty is, at Createrun's option, correction, a workaround, replacement, or termination of the licence with a refund of the Fees paid for the affected Software for the unused part of the billing period."]
Addendum B — Createrun Cloud
1. Scope
1.1 This Addendum forms part of the Createrun Terms of Service (the "Terms") and applies to the Cloud Services, meaning Createrun instances, virtual machines and related infrastructure that Createrun operates for you (each a "Cloud Environment"). Capitalized terms not defined here have the meaning given in the Terms.
1.2 A Cloud Environment may be a managed instance, where Createrun operates both the infrastructure and the Createrun platform software, or a rented virtual machine, where Createrun operates the infrastructure and you control the operating system and what runs on it. Your Order states which type you have.
2. Shared Responsibility
2.1 Createrun is responsible for:
- the physical data center facilities, hardware, power and network connectivity used for the Cloud Environment, through Createrun and its hosting providers;
- the virtualization layer and the isolation of your Cloud Environment from other customers;
- for managed instances, operating, patching and updating the Createrun platform software and the operating system beneath it, on a schedule Createrun decides; and
- the backup arrangements described in Section 4.
2.2 You are responsible for:
- your applications, their configuration, their security settings and the way they operate;
- your Customer Content, including the data in your applications and its accuracy, classification and lawful use;
- your users and administrators, their access rights and their actions;
- your credentials, access keys, secrets and integrations with other systems;
- keeping your own backup copies of your Customer Content, as described in Section 4.3;
- your compliance with the laws that apply to you, your data and your applications, including applicable data protection laws; and
- for rented virtual machines, everything inside the virtual machine: the operating system, its patches and configuration, the software you install, firewall rules you control, monitoring, and the security of the machine.
2.3 If you or your users change the configuration of a managed instance in a way the Documentation does not support, or install components that Createrun did not provide, you are responsible for the result, and Createrun may restore a supported configuration.
3. Availability and Maintenance
3.1 No uptime commitment. Createrun will use commercially reasonable efforts to keep the Cloud Services available, but these Terms contain no uptime, availability, response time or recovery commitment. A service level agreement applies only if Createrun and you sign one separately, and then only on its terms, with the remedies it states as your sole remedies.
3.2 Maintenance. Createrun may carry out scheduled maintenance, and will try to announce it in advance where practical. Createrun may carry out emergency maintenance, including installing urgent security updates, without prior notice.
3.3 Network. The Cloud Services do not include your internet access, or the transmission of data over networks that Createrun does not control.
4. Backups
4.1 What Createrun does. Createrun keeps backups of Cloud Environments on physically separate backup hardware in the same data center.
4.2 This is not a guarantee. Createrun's backups exist to help Createrun recover its services. They are not a guarantee that any particular data can be restored, to any particular point in time, or within any particular period. Because the backups are kept in the same data center, an event that affects the whole data center may affect both the Cloud Environment and its backups. Createrun does not commit to any backup frequency, retention period, recovery point or recovery time in these Terms.
4.3 Keep your own copies. You must keep your own, regular copies of your Customer Content outside the Cloud Environment, using the export features of the Services or other suitable means.
4.4 No liability for data loss. To the maximum extent permitted by applicable law, Createrun is not liable for any loss, corruption or unavailability of your Customer Content, whether or not Createrun's backups can restore it. Any restoration Createrun agrees to carry out is done on a reasonable-efforts basis and may be charged at Createrun's then-current rates.
5. Resource Limits
5.1 Each Cloud Environment is provided with the compute, memory, storage, bandwidth and other resources stated in your Order or plan. You must use it within those limits and in accordance with the Acceptable Use Policy.
5.2 If your use exceeds the limits, or affects the stability or performance of the infrastructure or of other customers, Createrun may throttle, queue or stop the excessive workload, charge for the excess at the published rates, ask you to move to a larger plan, or suspend the affected Cloud Environment under Section 12 of the Terms.
6. Data Location and Processing
6.1 Createrun is based in the United States. We process data on servers operated by us or our service providers, primarily in the United States. Where data of users in other regions is transferred, we rely on appropriate safeguards as required by applicable data protection laws.
6.2 Where Createrun processes personal data in your Customer Content on your behalf in a Cloud Environment, it does so as your processor under the Createrun Data Processing Addendum. You are the controller of that data.
7. Access by Createrun
Createrun personnel and subcontractors may access a Cloud Environment only as needed to operate, maintain, secure and support it, to respond to your requests, to investigate a suspected breach of the Terms or a security incident, or to comply with law. For rented virtual machines, Createrun does not routinely access the contents of the virtual machine.
8. Security
Createrun uses measures designed to protect the infrastructure of the Cloud Services. You must configure and use the security features available to you, keep your credentials secure, and promptly report to security@createrun.com any suspected unauthorized access to your Cloud Environment. Section 15 of the Terms applies.
9. End of Service
9.1 Export window. When your subscription for a Cloud Environment ends for any reason, you have thirty (30) days to export your Customer Content (the "Export Window"), provided that you have paid all Fees due. During the Export Window, Createrun may limit the Cloud Environment to read-only or export access.
9.2 Deletion. After the Export Window, Createrun will delete the Cloud Environment and the Customer Content in it, and has no further obligation to store, back up or make it available. Copies in backups are deleted as those backups expire in the ordinary course. Createrun may keep data where the law requires it.
9.3 Suspension for non-payment. If your subscription ends because of non-payment, Createrun may require payment of overdue Fees before giving access during the Export Window.
9.4 Immediate termination. If Createrun terminates your Cloud Environment because of illegal use, a serious security risk or a serious breach of the Acceptable Use Policy, Createrun may shorten or withhold the Export Window where necessary to address that risk or to comply with law.
Addendum C — Development Services and AI
1. Scope
1.1 This Addendum forms part of the Createrun Terms of Service (the "Terms") and applies to the Development Services: the hosted Createrun Editor, Git repositories, build and compile services, the Createrun Agent and the Createrun MCP interface. Capitalized terms not defined here have the meaning given in the Terms.
1.2 The Development Services are hosted by Createrun, even where the applications you build with them run in a Self-Hosted Installation under Addendum A.
2. Your Code and Applications
2.1 Ownership. You own the code, applications, designs, data models, workflows and other Customer Content you create with the Development Services. Createrun does not acquire any ownership of them.
2.2 Licence to Createrun. You grant Createrun the licence in Section 7.2 of the Terms, which covers only what is needed to host and process your Customer Content in order to provide the Development Services to you, including storing it in repositories, compiling and building it, running it in build and test environments, and sending it to AI models as described in Section 5.
2.3 Responsibility. You are responsible for your code and applications, including their design, correctness, security, licensing of any third-party code or libraries you include, testing, deployment and operation.
3. Git Repositories
3.1 You are responsible for the content of your repositories, for who has access to them, and for the permissions you give to users, integrations and tokens.
3.2 You must not store passwords, private keys, access tokens or other secrets in repository content. If you do, you are responsible for any resulting exposure, and you must rotate the affected secrets.
3.3 Deleting content, a branch or a repository may be permanent. You must keep your own copies of repositories you need, for example by cloning them to a location you control.
3.4 When your use of the Development Services ends, you may export your repositories during the thirty (30) day Export Window described in Section 9 of Addendum B, which applies to repository content in the same way. After that, Createrun may delete them.
4. Build and Compile Services
4.1 When you build or compile an application, Createrun runs your code and its dependencies in environments that Createrun operates. You are responsible for the code and dependencies you submit, and you must not submit code designed to attack, escape from, overload or misuse those environments.
4.2 Build and compile services are subject to limits on time, compute, memory, storage and concurrency. Createrun may stop a build that exceeds them or that affects other users.
4.3 A successful build is not a statement by Createrun that the application is correct, secure or fit for any purpose. Any review, check or signature that Createrun applies to a build confirms only that the stated process step was completed.
5. The Createrun Agent
5.1 What it is. The Createrun Agent is an AI feature of the Services that can answer questions, generate and change code, and carry out actions in your projects when you ask it to.
5.2 AI models. The Createrun Agent runs on AI models selected by Createrun. These may be third-party cloud models, models that Createrun operates, or both. Createrun may change the models it uses at any time, and the behavior and quality of AI Output may change as a result.
5.3 Data sent to models. To respond to you, the Createrun Agent sends your prompts and the parts of your Customer Content needed as context to the model that handles the request. Where a third-party model provider processes that data for Createrun, it does so as Createrun's subprocessor, and is listed on the Subprocessors page.
5.4 Service improvement. Createrun may use service data, including limited samples of inputs and outputs, in de-identified or aggregated form and under restricted access, to operate, secure and improve the efficiency of the existing Services. Where you use the Services for business purposes and the Data Processing Addendum applies, Createrun uses your Customer Content only as the Data Processing Addendum allows. Createrun will give you prominent notice before it uses your data for a materially different purpose.
5.5 Actions you approve. When the Createrun Agent changes your projects, runs builds or takes other actions, it does so at your instruction. Those actions are your actions. You are responsible for reviewing and approving changes before you rely on them, and for the effect of any action you allow the Createrun Agent to take without review.
6. AI Output
6.1 AI Output may be wrong. AI Output may be inaccurate, incomplete, insecure, out of date or inappropriate, and may not do what you intended. The same or similar input may produce different output.
6.2 Review and test. You must review, test and validate AI Output before you use it, deploy it or rely on it, including checking it for security and correctness. AI Output is not a substitute for professional advice. You must not rely on AI Output for medical, legal, financial, safety or other decisions with significant effects on people without appropriate independent review by qualified persons.
6.3 Ownership. As between you and Createrun, and subject to any rights of third parties, you own the AI Output generated for you, and Createrun assigns to you any rights it may have in that AI Output.
6.4 No uniqueness or non-infringement guarantee. Createrun does not guarantee that AI Output is unique, or that it is free of third-party rights. Other users may receive similar or identical output. You are responsible for making sure that your use of AI Output does not infringe the rights of others, including the licence terms of any code it resembles.
6.5 Disclosures to your users. If your applications use AI, or present AI-generated content to others, you are responsible for any notices, disclosures or consents that the law requires you to give.
7. MCP and Your Own AI Clients
7.1 The Createrun MCP interface lets AI clients, agents and model providers that you choose connect to the Services and act on your behalf ("Your AI Clients"). Your AI Clients are Third-Party Services under Section 9 of the Terms, not part of the Services.
7.2 Your AI Clients act on your behalf. Every action they take through the MCP interface, using your Account, your credentials or tokens you issue, is your action, and you are responsible for it as if you had taken it yourself, including any change, deletion, publication or charge that results.
7.3 Your use of Your AI Clients is governed by your own agreements with their providers. Createrun is not responsible for how those providers handle the data that Your AI Clients receive from the Services, including whether they use it to train models.
7.4 You are responsible for the permissions you give Your AI Clients, for protecting the tokens they use, and for revoking access you no longer want them to have.
8. Usage and Limits
8.1 The Createrun Agent, builds and other Development Services consume usage units under Section 10.4 of the Terms and are subject to the limits of your plan. Usage is counted when the work is performed, whether or not the result is useful to you, and is not refundable.
8.2 Createrun may apply rate limits, fair-use limits or queueing to protect the Development Services and other users.
9. Support
9.1 Support for the Development Services covers the Development Services as provided by Createrun. Createrun does not provide hands-on debugging, review or fixing of your application code, including code generated by the Createrun Agent.
9.2 If Createrun determines that a problem is caused by your application, your code or your configuration, Createrun may tell you so and has no obligation to resolve it.
10. Acceptable Use of AI
Your use of the Createrun Agent and the MCP interface is subject to the Acceptable Use Policy, including its rules on AI features. You must not use them to generate malicious code, to evade security controls, or to produce content that the Acceptable Use Policy prohibits.
Addendum D — Free, Community and Preview Services
1. Scope
1.1 This Addendum forms part of the Createrun Terms of Service (the "Terms") and applies to Free Services and Preview Services, in addition to any other addendum that applies to the same Service. If this Addendum conflicts with another addendum, this Addendum prevails for Free Services and Preview Services. Capitalized terms not defined here have the meaning given in the Terms.
1.2 Free Services include the Community edition, any free plan, and any free trial, for the duration of the trial.
2. Community Edition Eligibility
2.1 The Community edition is free to use, including for commercial purposes, only while the organization that uses it has no more than one hundred (100) employees and no more than fifty million US dollars (USD 50,000,000) in annual revenue.
2.2 [DECISION: counting rules.] For this purpose, employees include full-time and part-time employees and individual contractors working for the organization, and annual revenue means gross revenue in the most recent fiscal year, in each case counted together with the organization's affiliates.
2.3 If your organization exceeds either threshold, you are no longer eligible to use the Community edition. You must purchase a paid edition within [DECISION: thirty (30)] days, or stop using the Community edition.
2.4 The Community edition is subject to the limits described on the Createrun pricing page and in the Documentation.
3. No Warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FREE SERVICES AND PREVIEW SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY, INDEMNITY, SUPPORT OR ANY OTHER COMMITMENT OF ANY KIND. YOU USE THEM AT YOUR OWN RISK.
4. No Indemnity and No Liability
4.1 Createrun's indemnity in Section 19.2 of the Terms does not apply to Free Services or Preview Services.
4.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CREATERUN HAS NO LIABILITY OF ANY KIND ARISING OUT OF OR RELATING TO FREE SERVICES OR PREVIEW SERVICES, AS STATED IN SECTION 18.3 OF THE TERMS.
4.3 Your obligations under the Terms, including your indemnity in Section 19.1, apply in full to your use of Free Services and Preview Services.
5. No Support
Createrun does not provide support for Free Services or Preview Services. You may use the Documentation and any community resources that Createrun makes available. Createrun may respond to questions at its discretion, without any obligation to do so or to respond within any period.
6. Preview Services
6.1 Preview Services are provided for evaluation and feedback. They are not ready for production use, and you must not use them in production or with data you cannot afford to lose.
6.2 Preview Services may be incomplete, may contain errors, and may be changed, limited or discontinued at any time, with or without notice. Createrun is not obliged to make any Preview Service generally available. Data created in a Preview Service may not carry over to a later version and may be deleted when the Preview Service ends.
6.3 Information about Preview Services that Createrun has not made public is Createrun's Confidential Information.
7. Changes, Limits and Ending Free Services
7.1 Createrun may change the features and limits of Free Services, or stop offering them, at any time. Where practical, Createrun will give reasonable notice before it stops offering a Free Service that you use.
7.2 [DECISION: inactivity rule.] Createrun may suspend or delete a free Account, free Organization or free Cloud Environment that has been inactive for [twelve (12) months], after giving at least [thirty (30)] days' notice to the registered email address.
7.3 You are responsible for keeping your own copies of your Customer Content in Free Services and Preview Services.
8. Free Trials
During a free trial of a paid plan, the trial is a Free Service under this Addendum. When the trial converts into a paid subscription under Section 10.5 of the Terms, this Addendum stops applying to that plan and the terms for paid Services apply.
