This Paid Apps Commerce Addendum (the "Addendum") is between Createrun Incorporated, a New York corporation ("Createrun") and the Publisher that accepts it (the "Publisher", "you"). It governs the sale of paid Items through the Createrun Store. Terms defined in the Createrun Store Publisher Agreement (the "Publisher Agreement") have the same meaning here.

1. Scope and acceptance

1.1 This Addendum supplements the Publisher Agreement, which must be in force for this Addendum to have effect.

1.2 You must accept this Addendum, complete the seller verification Createrun requires, and complete onboarding with the Payment Processor before you can set a price for an Item or receive payouts.

1.3 If this Addendum conflicts with the Publisher Agreement or the Createrun Terms of Service on pricing, commission, payment, payouts, reserves, taxes, refunds or chargebacks, this Addendum prevails.

2. Definitions

  • Paid Item: an Item, or a paid plan, feature or subscription of an Item, that a Customer pays for through the Store.
  • Customer Price: the price you set for a Paid Item, excluding any tax added at checkout.
  • Gross Receipts: the Customer Price actually collected from the Customer for a transaction, excluding tax collected at checkout.
  • Payment Processor: the third-party payment service provider Createrun uses to process Store payments and payouts, currently Stripe.
  • Connected Account: the account you hold directly with the Payment Processor to receive payouts.
  • Balance: the amount credited to you under this Addendum and not yet paid out, after all deductions.
  • Refund: a return of all or part of an amount paid by a Customer.
  • Chargeback: a reversal of a payment initiated by a Customer, a card network, a bank or another payment method operator.

3. Payment model and Createrun's role

3.1 Appointment. You appoint Createrun as your non-exclusive agent and commissionaire for the sale of your Paid Items through the Store. Createrun concludes each sale and collects payment in its own name, but on your behalf and for your account. Createrun appears on the Customer's payment statement as the seller and payment collector.

3.2 Scope of authority. Createrun's authority is limited to: listing and presenting the Customer Price; concluding orders; collecting payment from Customers through the Payment Processor; calculating, collecting and remitting the taxes described in Section 10; deducting the commission and other amounts this Addendum permits; issuing Refunds under Section 11; and paying the rest to you. Createrun has no authority to make any other commitment on your behalf.

3.3 You are the licensor. You license each Paid Item to the Customer under your End-User Terms. Createrun does not take title to your Items or to any intellectual property in them, and is not a party to your End-User Terms. You remain responsible to the Customer for the Item, its performance, its support and its data practices, as set out in the Publisher Agreement. Payment by the Customer to Createrun discharges the Customer's payment obligation to you for that order.

3.3A Trader status. You must declare in the developer console whether you act as a trader (a business) in selling your Items, and keep that declaration accurate. Createrun shows your declaration to Customers in your Listing.

3.4 Customer billing enquiries. Createrun may act as the first point of contact for Customer questions about Store charges. This does not make Createrun responsible for your Item.

3.5 Consistent statements. You must describe Createrun's role consistently with this Section, and must not present Createrun as the licensor, warrantor or support provider of your Items.

4. Staged availability

4.1 Paid checkout for Publishers is being made available in stages, and may be limited by Publisher, Item type, currency or territory. Createrun decides when paid checkout becomes available to you and is not liable for any delay in making it available.

4.2 Until paid checkout is available to you, you may offer your Items free of charge through the Store. If you charge Customers outside the Store, that arrangement is solely between you and the Customer. [DECISION: whether Publishers may sell outside the Store and link to it from a Listing, and on what terms.]

5. Pricing

5.1 You set the Customer Price for each Paid Item from the price points and currencies available in the developer console. You may change a price at any time; a change applies only to transactions completed after it takes effect.

5.2 You may offer trials and discounts only through the mechanisms Createrun provides, and must state their terms accurately in the Listing, including what the Customer will be charged when a trial or discount ends.

5.3 You may raise the price of an existing subscription only after giving affected Customers notice through the mechanism Createrun provides and, where law or payment method rules require it, obtaining their consent.

5.4 Createrun may decline a price point where the transaction would result in a nil or negative settlement after fees.

6. Commission

6.1 For each transaction, Createrun retains a commission of fifteen percent (15%) of the Gross Receipts, and credits the rest to your Balance, subject to Sections 7 to 11. Taxes collected under Section 10 are not part of Gross Receipts and no commission is charged on them.

6.2 The commission is a flat rate. It is calculated on amounts actually collected; no commission accrues on amounts not collected.

6.3 Payment processing, currency conversion and payout fees charged by the Payment Processor are [DECISION: included in the 15% / deducted from your Balance in addition to the 15%].

6.4 The rate that applies to a transaction is the rate in force when the transaction is completed. Createrun may change the rate on at least thirty (30) days' notice [DECISION: 30 or 90 days]; a change applies only to transactions completed after it takes effect.

6.5 Where a transaction is refunded in whole or part, the commission attributable to the refunded amount is [DECISION: credited back to your Balance / retained by Createrun]. Fees charged by the Payment Processor are not credited back.

7. Payment Processor and seller onboarding

7.1 Store payments are processed and payouts are made through the Payment Processor. You enter into the Connected Account agreement directly with the Payment Processor, and Createrun is not a party to it. You must comply with the Payment Processor's terms.

7.1A Payments are currently processed through Stripe. Createrun may add other payment methods in the future; any such method will be offered through Createrun's checkout.

7.2 You must complete the Payment Processor's identity, ownership and compliance checks (including know-your-customer checks) and keep your information current. Until your Connected Account is in good standing, amounts may accrue to your Balance but will not be paid out.

7.2A Selling through the Store is available only to Publishers established in the countries Createrun lists in the developer console, which depend on where the Payment Processor supports payouts [DECISION: eligible publisher countries]. Createrun may change that list on notice.

7.3 You authorise Createrun to instruct the Payment Processor to transfer your Balance to your Connected Account and to reverse or recover amounts where this Addendum permits.

7.4 The Payment Processor may hold, delay, reverse or block funds, request information, or restrict or close your Connected Account under its own terms and legal obligations. Createrun cannot override those actions and is not liable for them.

7.5 Createrun may change its Payment Processor on notice. You must complete any onboarding the new processor requires to keep receiving payouts.

8. Payouts

8.1 Payouts are calculated per calendar month and paid monthly in arrears. Each transaction is held for [DECISION: number of days, for example 30] days after it is completed before it becomes eligible for payout, to allow for settlement, Refunds and Chargebacks.

8.2 No payout is made until your Balance reaches USD 40 (the "Payout Threshold"). A Balance below the Payout Threshold rolls over to the next period.

8.3 No payout is made while your seller verification is suspended, revoked or lapsed, while your Connected Account is not in good standing, or while required tax information is missing. In those cases your Balance is held, not forfeited, and is released after the condition is resolved, unless the law prevents release.

8.4 Createrun is not responsible for a payout that fails or is misdirected because of details you supplied.

8.5 Createrun makes statements available in the developer console showing amounts collected, refunds, chargebacks, commission, fees, reserves, other deductions and the amount payable. You must raise any discrepancy within sixty (60) days after a statement is made available; after that the statement is treated as accepted, except for manifest error or fraud.

8.6 If a Balance cannot be paid out because you have not supplied usable details, Createrun will hold it, make reasonable attempts to contact you, and deal with it in accordance with applicable law on unclaimed property.

9. Reserves and set-off

9.1 Reserve. Createrun may hold back part or all of your Balance as a reserve where it reasonably considers that there is a risk of refunds, chargebacks, fraud, fines or other liabilities, including for new Publishers, unusual sales patterns, elevated refund or chargeback rates, or pending investigations. Createrun will tell you the reason for a reserve and review it periodically.

9.2 Reserve after termination. After this Addendum ends, Createrun may hold a reserve for up to ninety (90) days after your last transaction, or longer if needed to cover chargebacks still open, and then pay out the remaining Balance subject to Section 8.

9.3 Set-off. Createrun may deduct from any amount payable to you, or recover from your Connected Account where the Payment Processor permits: Refunds; Chargebacks and related fees; Payment Processor fees borne by you; taxes Createrun is required to collect or withhold; amounts paid to you in error; and any other amount you owe Createrun under the Publisher Agreement or this Addendum.

9.4 Negative Balance. If deductions exceed your Balance, the difference is a debt you owe Createrun. Createrun may set it off against future amounts or invoice you, and you must pay an invoice within thirty (30) days.

10. Taxes

10.1 Taxes Createrun collects. Where applicable law makes Createrun responsible for tax on a sale through the Store, including as a marketplace provider, marketplace facilitator or deemed supplier, Createrun calculates the tax, shows it to the Customer at checkout, collects it, and reports and remits it. Those amounts are not part of Gross Receipts.

10.2 Your own taxes. You remain responsible for all other taxes arising from your Items and your business, including income tax on amounts paid to you, any value-added tax or other tax registration you are required to hold, any tax due on the commission or on your supply through Createrun where the law places it on you, and taxes on sales you make outside the Store. Createrun does not give tax advice.

10.3 Withholding. Where Createrun or the Payment Processor is legally required to withhold tax from a payout, or to report payments to a tax authority, Createrun may do so and will provide the documentation the law requires.

10.4 Tax information. You must provide accurate, complete and current tax information when Createrun or the Payment Processor requests it, including a U.S. Form W-9 or the applicable Form W-8, and your tax identification and registration numbers. Createrun or the Payment Processor may use that information to report payments to you to tax authorities, including on Form 1099 where required. Createrun may withhold payouts until you provide it.

10.5 Your own taxes. Each party is responsible for taxes on its own income. You indemnify Createrun, under Section 12 of the Publisher Agreement, against taxes, interest and penalties arising from your tax obligations or from inaccurate information you provided.

11. Refunds and chargebacks

11.1 Your refund policy. You must state a refund policy in each Listing for a Paid Item. It must comply with applicable law. Refunds are granted under your refund policy.

11.2 Refunds issued by Createrun. Createrun may issue a Refund to a Customer: under your refund policy; at your request; where the law or a competent authority requires it; where your Item was delisted, disabled or removed for a policy, security or legal reason; where the Item was not delivered or does not substantially work as described; or at Createrun's discretion in other exceptional cases.

11.3 Charged back to you. Every Refund Createrun issues for your Item, including a discretionary Refund, is charged back to you. Createrun refunds the Customer first and then recovers your share of the refunded amount, subject to Section 6.5: by deducting it from your Balance; where it has already been paid out, by reversing the transfer to your Connected Account through the Payment Processor; or by set-off against future payouts. Any shortfall is handled under Section 9.4.

11.4 Chargebacks. Chargebacks on your Paid Items, and any fees the Payment Processor or a payment method operator charges for them, are charged back to you in the same way. You must cooperate promptly in responding to a chargeback, including by supplying evidence of delivery and use.

11.5 Excessive rates. Excessive Refund or Chargeback rates are grounds for a reserve, for suspension of your ability to sell, and for the other remedies under the Publisher Agreement.

12. Your commerce obligations

12.1 You warrant that you hold all rights needed to sell and license each Paid Item and every component of it.

12.2 Your Listing, prices, subscription, trial and renewal terms must be accurate and not misleading, and must state what the Customer will be charged, when, and how to cancel.

12.3 You must deliver what you sold, including advertised functionality and any service included in the price.

12.4 You must comply with the consumer protection, electronic commerce and pricing laws that apply to your sales, including any right of withdrawal or cancellation and any rule on recurring charges.

12.5 You must not steer Customers who acquired an Item through the Store to pay outside the Store for the purpose of avoiding the commission, except where Createrun permits it or the law requires it to be permitted.

13. Territories

13.1 You choose the territories in which your Paid Items are offered, from those Createrun makes available, and you are responsible for confirming that you may lawfully sell there.

13.2 Createrun may add or remove territories, currencies or payment methods on notice. Createrun may suspend sales of an Item in a territory without prior notice where needed to comply with law, sanctions, export controls, an order of a competent authority or a requirement of the Payment Processor.

14. Term, suspension and termination

14.1 This Addendum continues for as long as the Publisher Agreement is in force, and ends automatically when it ends.

14.2 Either party may terminate this Addendum on thirty (30) days' written notice. Createrun may suspend your ability to sell immediately on any ground that permits suspension under the Publisher Agreement, or if your seller verification or Connected Account ceases to be in good standing.

14.3 On termination or suspension, no new sales are made. Existing subscriptions end at the close of the paid period then in progress unless the parties agree otherwise. You remain responsible to Customers for periods they have paid for, including any Refund due for a period they will not receive.

14.4 Sections 6.5, 8.5, 8.6, 9, 10, 11, 12.1, 14.3, 14.4, 15 and 16 survive termination.

15. Records

15.1 Each party keeps accurate records of transactions under this Addendum for as long as applicable law requires, and at least three (3) years after each transaction.

15.2 You may request a written reconciliation of your statements once in any twelve (12) month period by notice to legal@createrun.com identifying the periods and items concerned. If the reconciliation reveals an underpayment, Createrun will credit the difference to your Balance in the next payout cycle.

16. General

16.1 Section 14 of the Publisher Agreement (disclaimers, limitation of liability, governing law and general terms) applies to this Addendum, including the governing law of the State of New York, the exclusive jurisdiction of the state and federal courts located in New York County, New York, the jury waiver and the one-year time limit for claims.

16.2 Createrun may change this Addendum on at least thirty (30) days' notice by email or through the developer console, except where a change is required for legal, tax or payment processing reasons, in which case it may take effect sooner. A change to the commission rate is also subject to Section 6.4. If you do not accept a change, your remedy is to stop selling and terminate under Section 14.2.

16.3 Notices to Createrun under this Addendum go to legal@createrun.com. Questions about Store payments go to support@createrun.com.

16.4 This Addendum is written in English, and the English version controls over any translation.
